Terms and Conditions for Bawar Office
These Terms and Conditions (“Agreement”) form a legally binding contract between Bawar Office (“we,” “us,” or “our”) and the Client (“you” or “your”). By engaging our services, you acknowledge and accept these terms.
1. Definitions
- “Bawar Office”: Refers to our engineering consulting business specializing in design, implementation, and project supervision.
- “Client”: The individual, business, or organization engaging our services.
- “Deliverables”: Any plans, designs, reports, or outputs provided by us as part of the project.
- “Third Parties”: Any external contractors, suppliers, or service providers involved in the project.
2. Scope of Services
- The services provided by Bawar Office will be detailed in a formal proposal or agreement, which may include:
- Engineering design and consultation.
- Implementation and technical assistance.
- Supervision and quality assurance for construction or engineering projects.
- Any additional services or changes to the agreed scope must be requested in writing and may incur additional fees.
3. Client Obligations
To facilitate timely and effective service delivery, the Client agrees to:
- Provide accurate and timely information and documentation relevant to the project.
- Assign a primary point of contact to liaise with our team.
- Comply with applicable laws, regulations, and permits necessary for project execution.
- Notify us promptly of any changes to project requirements, timelines, or conditions.
Failure to meet these obligations may result in delays or additional costs.
4. Fees, Payments, and Invoices
- Pricing: Fees for services will be outlined in the project proposal or contract.
- Payment Schedule: Payments may be required in installments based on milestones, as detailed in the proposal.
- Late Payments: Unpaid invoices beyond 30 days of the due date will incur a penalty of 5% per month.
- Taxes: The Client is responsible for any applicable taxes or duties unless otherwise stated.
Bawar Office reserves the right to suspend or terminate services in case of non-payment.
5. Confidentiality and Data Protection
- Confidential Information: Both parties agree to protect and not disclose any confidential information obtained during the course of the project.
- Data Use: Any personal or sensitive data provided by the Client will only be used for purposes directly related to the project.
- Retention: We will retain project-related data for [Insert Timeframe] after project completion unless instructed otherwise.
Confidentiality obligations survive termination of this Agreement.
6. Intellectual Property Rights
- Ownership:
- All original designs, concepts, and project documentation created by Bawar Office remain our intellectual property until full payment is received.
- Upon payment, the Client is granted a non-exclusive, non-transferable license to use the deliverables for the agreed purposes.
- Restrictions:
- The Client must not alter, reproduce, or distribute our work without prior written consent.
7. Project Timelines and Delays
- Estimated Timelines: Project deadlines will be outlined in the proposal.
- Delays: We are not liable for delays caused by factors beyond our control, including:
- Force majeure (e.g., natural disasters, strikes, pandemics).
- Delays in approvals, materials, or third-party actions.
- In such cases, timelines will be adjusted accordingly.
8. Quality Assurance and Revisions
- We strive to deliver high-quality work that meets agreed specifications.
- Revisions: The Client is entitled to revision of deliverables within the agreed scope. Additional revisions may incur extra fees.
- Inspection Period: The Client has an agreed on time to review and approve deliverables after submission.
9. Third-Party Involvement
- Bawar Office may engage third-party contractors or suppliers as needed for project completion.
- While we carefully select our partners, we are not liable for third-party actions beyond our direct control.
10. Liability and Indemnification
- Limitation of Liability:
- Bawar Office’s total liability for claims arising from this Agreement is limited to the fees paid by the Client.
- We are not responsible for indirect, incidental, or consequential damages.
- Indemnity: The Client agrees to indemnify and hold harmless Bawar Office from claims, liabilities, or expenses arising from:
- Use or misuse of deliverables.
- Breach of Client obligations under this Agreement.
11. Termination of Agreement
- Termination by Client: The Client may terminate the Agreement with 14 days’ written notice. Any fees for work completed up to the termination date remain payable.
- Termination by Bawar Office: We reserve the right to terminate the Agreement if:
- The Client breaches these terms.
- Payments are not received as agreed.
Upon termination, all project materials and intellectual property must be returned or destroyed as instructed.
12. Governing Law and Jurisdiction
This Agreement is governed by the laws of Iraq. Any disputes shall be resolved in the courts of law.
13. Dispute Resolution
In the event of a dispute, both parties agree to:
- Attempt resolution through good-faith negotiation.
- Proceed to mediation if negotiation fails.
- Resort to arbitration or legal action only as a last resort.
14. Entire Agreement
This document, along with any signed proposals or contracts, represents the entire agreement between the parties. No verbal agreements or prior communications shall alter its terms.
15. Amendments
Bawar Office reserves the right to amend these Terms and Conditions. Updated versions will be communicated to Clients and take effect immediately unless otherwise specified.
