Terms and Conditions for Bawar Office<\/strong><\/p>\n\n\n\n

  • “Deliverables”<\/strong>: Any plans, designs, reports, or outputs provided by us as part of the project.<\/li>\n\n\n\n
  • “Third Parties”<\/strong>: Any external contractors, suppliers, or service providers involved in the project.<\/li>\n<\/ul>\n\n\n\n

    2. Scope of Services<\/strong><\/h3>\n\n\n\n

    • The services provided by Bawar Office will be detailed in a formal proposal or agreement, which may include:\n

      • Implementation and technical assistance.<\/li>\n\n\n\n

          Failure to meet these obligations may result in delays or additional costs.<\/p>\n\n\n\n

          4. Fees, Payments, and Invoices<\/strong><\/h3>\n\n\n\n

          • Pricing<\/strong>: Fees for services will be outlined in the project proposal or contract.<\/li>\n\n\n\n
          • Payment Schedule<\/strong>: Payments may be required in installments based on milestones, as detailed in the proposal.<\/li>\n\n\n\n
          • Late Payments<\/strong>: Unpaid invoices beyond 30 days of the due date will incur a penalty of 5% per month.<\/li>\n\n\n\n

            Bawar Office reserves the right to suspend or terminate services in case of non-payment.<\/strong><\/p>\n\n\n\n

            • Confidential Information<\/strong>: Both parties agree to protect and not disclose any confidential information obtained during the course of the project.<\/li>\n\n\n\n
            • Data Use<\/strong>: Any personal or sensitive data provided by the Client will only be used for purposes directly related to the project.<\/li>\n\n\n\n

                    • Delays<\/strong>: We are not liable for delays caused by factors beyond our control, including:\n

                      • Force majeure (e.g., natural disasters, strikes, pandemics).<\/li>\n\n\n\n
                      • Delays in approvals, materials, or third-party actions.<\/li>\n<\/ul>\n<\/li>\n\n\n\n
                      • In such cases, timelines will be adjusted accordingly.<\/li>\n<\/ul>\n\n\n\n

                        8. Quality Assurance and Revisions<\/strong><\/h3>\n\n\n\n

                        • We strive to deliver high-quality work that meets agreed specifications.<\/li>\n\n\n\n
                        • Revisions<\/strong>: The Client is entitled to revision of deliverables within the agreed scope. Additional revisions may incur extra fees.<\/li>\n\n\n\n
                        • Inspection Period<\/strong>: The Client has an agreed on time to review and approve deliverables after submission.<\/li>\n<\/ul>\n\n\n\n

                          9. Third-Party Involvement<\/strong><\/h3>\n\n\n\n

                          • Bawar Office may engage third-party contractors or suppliers as needed for project completion.<\/li>\n\n\n\n
                          • While we carefully select our partners, we are not liable for third-party actions beyond our direct control.<\/li>\n<\/ul>\n\n\n\n

                            10. Liability and Indemnification<\/strong><\/h3>\n\n\n\n

                              • Bawar Office\u2019s total liability for claims arising from this Agreement is limited to the fees paid by the Client.<\/li>\n\n\n\n

                              • Indemnity<\/strong>: The Client agrees to indemnify and hold harmless Bawar Office from claims, liabilities, or expenses arising from:\n

                                • Use or misuse of deliverables.<\/li>\n\n\n\n
                                • Breach of Client obligations under this Agreement.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n\n\n\n

                                  11. Termination of Agreement<\/strong><\/h3>\n\n\n\n

                                  • Termination by Client<\/strong>: The Client may terminate the Agreement with 14 days’ written notice. Any fees for work completed up to the termination date remain payable.<\/li>\n\n\n\n
                                  • Termination by Bawar Office<\/strong>: We reserve the right to terminate the Agreement if:\n
                                      \n
                                    • The Client breaches these terms.<\/li>\n\n\n\n
                                    • Payments are not received as agreed.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n\n\n\n

                                      Upon termination, all project materials and intellectual property must be returned or destroyed as instructed.<\/p>\n\n\n\n

                                      \n\n\n\n

                                      12. Governing Law and Jurisdiction<\/strong><\/h3>\n\n\n\n

                                      This Agreement is governed by the laws of Iraq. Any disputes shall be resolved in the courts of law.<\/p>\n\n\n\n

                                      \n\n\n\n

                                      13. Dispute Resolution<\/strong><\/h3>\n\n\n\n

                                      In the event of a dispute, both parties agree to:<\/p>\n\n\n\n

                                        \n
                                      1. Attempt resolution through good-faith negotiation.<\/li>\n\n\n\n
                                      2. Proceed to mediation if negotiation fails.<\/li>\n\n\n\n
                                      3. Resort to arbitration or legal action only as a last resort.<\/li>\n<\/ol>\n\n\n\n
                                        \n\n\n\n

                                        14. Entire Agreement<\/strong><\/h3>\n\n\n\n

                                        This document, along with any signed proposals or contracts, represents the entire agreement between the parties. No verbal agreements or prior communications shall alter its terms.<\/p>\n\n\n\n

                                        15. Amendments<\/strong><\/h3>\n\n\n\n

                                        Bawar Office reserves the right to amend these Terms and Conditions. Updated versions will be communicated to Clients and take effect immediately unless otherwise specified.<\/p>\n\n\n\n
